Paperless — Terms of Use

Welcome to Paperless. These Terms of Use ("Terms") govern your use of the Paperless mobile application (the "App") provided by Paperless App Ltd ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the App.
1. Acceptance of Terms
By accessing or using the App, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the App on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
2. Eligibility
You must be at least 16 years old to use the App. By using the App, you represent that you meet this age requirement. If we learn that a user is under 16, we will close the account and delete the associated data.
3. Beta / Early Access
The App is currently offered as an early-access product (pre-1.0 release). This means:
- Features may be added, changed, or removed without notice.
- The App may contain bugs, inaccuracies, or interruptions, and is not guaranteed to be available at all times.
- We recommend that you keep your own copies of any receipts or information that is important to you.
Your use of the App during this period is on the same "as is" basis described in Section 13.
4. Account Registration
To use the App, you must create an account by verifying either a mobile phone number or an email address using a one-time code sent to you. We do not use passwords. You agree to:
- Provide an accurate phone number or email address that you control;
- Keep your device and the verification codes secure;
- Be responsible for all activity that occurs under your account.
We collect only the contact identifier you choose (phone number or email), together with the data you create in the App (see Section 7). We do not require your name, postal address, date of birth, or payment details to create an account.
5. Changes to Terms
We may update these Terms from time to time. When we make a material change, we will update the "Last Updated" date and provide reasonable notice in the App before the change takes effect. Your continued use of the App after the change takes effect constitutes your acceptance of the updated Terms. If you do not agree to a change, you must stop using the App and may delete your account.
6. Licence to Use the App
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the App on devices you own or control, for:
- your personal use; and
- tracking receipts in connection with your own employment, business, or self-employment (for example, expense claims, reimbursements, or bookkeeping for your own business).
This licence does not allow you to:
- resell, sublicense, white-label, or commercially redistribute the App or access to it;
- use the App to provide a service to third parties;
- copy, modify, translate, or create derivative works of the App;
- reverse-engineer, decompile, or disassemble the App except to the extent expressly permitted by applicable law;
- use the App in any way that is unlawful, infringes the rights of others, or could damage, disable, overburden, or impair the App or our servers;
- attempt to gain unauthorised access to the App, our servers, or any other user's account; or
- use the App to upload or transmit viruses, malware, or other harmful code.
7. Your Receipts and Content
The App lets you upload, scan, and store receipts (including receipt images and the information contained in or derived from them) and create related content such as labels and stores, and send us feedback ("Your Content"). As between you and us:
- You retain ownership of Your Content.
- You grant us a worldwide, royalty-free licence to host, store, process, transmit, and display Your Content solely for the purpose of providing the App to you (including, where applicable, performing automated processing on receipt images).
- You are responsible for Your Content and for ensuring you have the right to upload it. You agree not to upload content that infringes the rights of others, is unlawful, or contains personal data of other people without a lawful basis.
You can delete individual receipts at any time. Deleted receipts move to a "Deleted" bin and can be restored, or permanently deleted from the bin. Permanent deletion is irreversible.
8. Automated Processing
When you scan a receipt, the App processes the image using automated technology to recognise and pre-fill details such as the merchant, date, and totals. This processing may be carried out by us or by providers acting on our behalf. Automated processing is not perfect: it may misread or miss information. You are responsible for reviewing and correcting the extracted information before relying on it, and we do not warrant that it will be accurate or complete.
9. Not Financial, Tax, or Legal Advice
The App is a tool for organising your receipts. It is not a substitute for professional accounting, bookkeeping, tax, or legal advice, and the data it stores is not a substitute for original tax records where your jurisdiction requires you to keep them. You are solely responsible for meeting any tax, accounting, or record-keeping obligations that apply to you.
10. Privacy and Data Collection
Our Privacy Policy, available in the App, explains how we collect, use, and protect your personal information. By using the App, you consent to the processing of your information as described there.
11. Third-Party Services
To operate the App we rely on trusted third-party providers, including providers that help us with:
- Sending verification codes by SMS or email;
- Recognising and extracting information from receipt images;
- Hosting our service and storing data and images;
- Analytics and error reporting.
In addition, when you use your device's options to share or save a receipt image, the image is handed to the service or app you choose, and is then governed by that third party's terms, not these Terms. We are not responsible for the content, privacy practices, or availability of third-party services you choose to use through the App.
12. Termination
You may terminate your account at any time by using the "Delete Account" option in the Settings screen of the App. Account deletion is permanent and irreversible, and removes your account details and the content you created in the App, such as your receipts and receipt images. We may also suspend or terminate your access to the App at any time, with or without notice, if you breach these Terms or if we are required to do so by law. On termination for any reason, the licence granted to you in Section 6 ends, and Sections 7 (in respect of content already shared with us), 8–9, 13–16, and 18–20 will survive.
13. Disclaimers
The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or free from bugs, or that any data extracted from receipts will be accurate. You use the App at your own risk. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
14. Limitation of Liability
To the maximum extent permitted by law, Paperless App Ltd will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity. Our total aggregate liability is limited to one hundred British Pounds (£100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Paperless App Ltd from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the App, Your Content, your breach of these Terms, or your infringement of any third-party rights.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that nothing in this clause limits any non-waivable right you may have as a consumer.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App.
19. No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
